L1 to F1 [max number of years of stay]

Hi,

I am on L1 visa. I intend to go to business school in fall 2007. By
then I would have stayed in US for 5 years. If I get F1 visa for 2
years, that would make 7 years of stay in US. Will I be then eligible
to stay further in US?

I would like to clarify if there is any problem converting to F1 after
staying in US for 5 years on L1 visa
